About INSTY (Contact & Grievance)

INSTY is a professional learning, creator-development, mentorship, and talent-oriented platform offering educational and professional Programs, workshops, sessions, events, mentorship opportunities, assessments, collaborations, and related Services in fields including acting, filmmaking, creative arts, content creation, media, communication, branding, and allied domains.

Response timeline: Complaints shall be acknowledged within forty-eight (48) hours and resolved within one (1) month from the date of receipt, in accordance with applicable law.

Definitions

• "Content" shall mean all materials provided or made available by INSTY through the Service or in connection with a Program, including without limitation videos, slides, scripts, screenplays, scenes, templates, recordings (audio/video), frameworks, notes, assignments, assessments, exercises, sample contracts, casting briefs, showreel samples, branding, designs, and any other intellectual property.
• "Input" shall mean any data, text, images, assignments, work, audio, video, scripts, creative work, performances, submissions, files, or other materials that you upload, submit, record, transmit, or otherwise provide through the Service or during a Program (including audition tapes, showreels, scenes, scripts, pitches, portfolios, assignments, and feedback).
• "Output" shall mean any content, material, or result generated by the Service based on or derived from Your Input (for example, AI-generated feedback, scripts, suggestions, edits, or other generated content), subject to the specific limitations and licensing terms set out in these Terms.
• "Live Brief / Project" shall mean all practical work performed during a Program.
• "Program" shall mean any workshop, course, mentorship session, event, training module, live brief, masterclass, or educational offering made available by INSTY through the Platform.
• "Subscription" shall mean any paid access purchased by a User for participation in any Program or access to Services.

Eligibility

You must be at least 18 (eighteen) years of age to independently register on, access, enroll in, or use the Platform and the Services offered by INSTY. By accessing or using the Platform, You represent and warrant that You satisfy the Eligibility Requirements set out herein.

If You are below 18 (eighteen) years of age ("Minor"), Your access to and use of the Platform shall be permitted only with the express and verifiable consent, involvement, and supervision of Your parent or lawful guardian ("Parent") obtained in accordance with the Digital Personal Data Protection Act, 2023 ("DPDP Act"). In such cases, the Parent shall be deemed to have read, understood, and agreed to these Terms on behalf of the Minor and shall remain responsible for the Minor's activities, conduct, compliance, and use of the Platform and Services. Minors are not permitted to independently purchase, enroll in, subscribe to, or participate in any Program without the involvement and consent of their Parent.

INSTY reserves the right to suspend, restrict, terminate, or refuse access to the Platform, Services, Programs, or any associated features if INSTY reasonably believes that: You do not satisfy the Eligibility Requirements; valid parental consent has not been obtained where required; any information provided by You is inaccurate, false, incomplete, or misleading; or Your use of the Platform violates applicable law or these Terms.

You acknowledge and agree that it shall be Your sole responsibility, and where applicable, Your Parent's sole responsibility, to ensure compliance with the Eligibility Requirements and all applicable laws relating to access and use of the Platform.

INSTY reserves the right to request proof of age, identity, eligibility, parental authorization, or supporting documentation at any time for verification and compliance purposes.

Enrollment & Access

Enrollment into any Program shall be deemed confirmed only upon successful payment of the applicable fees and completion of any screening, verification, onboarding, eligibility, documentation, or approval requirements prescribed by INSTY from time to time.

Access to the Platform, Programs, recordings, sessions, communities, materials, and related Services is granted solely for Your personal, limited, non-commercial, and non-transferable use. Sharing of login credentials, account access, recordings, Program materials, or unauthorized access-sharing may result in immediate suspension or termination of access without refund and may further result in legal action by INSTY.

You shall not reproduce, record, distribute, publish, display, sublicense, commercially exploit, modify, reverse engineer, copy, transmit, extract, or otherwise use any portion of the Platform, Programs, Services, recordings, materials, or content without the prior written consent of INSTY.

INSTY reserves the right to issue updates, modifications, improvements, patches, revisions, or changes to the Platform, Programs, Services, interfaces, systems, or features from time to time, and You agree to receive and permit such updates where applicable.

Registration on the Platform may be available free of charge; however, certain Programs, Services, workshops, events, or features may require payment of applicable fees. Details of such Programs and Services shall be communicated through the Platform or otherwise by INSTY.

Where any mentor, instructor, speaker, collaborator, consultant, creator, or industry professional engages with INSTY for the purpose of providing content, mentorship, services, sessions, workshops, or Programs, such engagement may additionally be governed by separate agreements, policies, or commercial arrangements executed with INSTY.

Your access to and use of the Platform shall at all times remain subject to compliance with these Terms and the following conditions:

• You shall not distribute, circulate, publish, reproduce, transmit, display, or otherwise make available any part of the Platform, Programs, recordings, INSTY Content, or proprietary materials without INSTY's prior written authorization.
• You shall not alter, interfere with, disrupt, damage, modify, reverse engineer, decompile, or attempt to gain unauthorized access to any part of the Platform, systems, infrastructure, or associated technology.
• You shall not access, extract, copy, collect, scrape, download, or misuse any data, content, materials, information, communications, or User-related information beyond the access legitimately granted to You through the Platform.
• You should not use the Platform, Programs, Services, recordings, materials, or content for any commercial purpose without INSTY's prior written consent, including without limitation: sale, sublicensing, sharing, or monetization of access to the Platform or Programs; unauthorized advertising, sponsorship, promotion, endorsement, or commercial solicitation using the Platform or INSTY Content; or promotion or commercialization of third-party products, services, websites, pages, businesses, or offerings through the Platform without authorization from INSTY.
• You acknowledge that INSTY may from time to time introduce updates, upgrades, modifications, enhancements, bug fixes, patches, security updates, or new functionalities to improve the Platform and Services, and You consent to such updates where applicable.
• You shall not use any automated means, bots, crawlers, scraping tools, scripts, artificial intelligence tools, data extraction methods, or similar technologies to access, extract, monitor, copy, interfere with, overload, or misuse the Platform, Services, systems, data, or content without the prior written consent of INSTY.
• Where the Platform permits reviews, comments, submissions, communications, or interactions, You agree that such conduct shall remain lawful, respectful, non-infringing, non-defamatory, non-abusive, non-obscene, non-misleading, and compliant with these Terms and all applicable laws. INSTY reserves the right to remove, restrict, review, moderate, or disable any content or conduct that violates these Terms or is otherwise deemed inappropriate by INSTY.
• You shall at all times use the Platform, Programs, and Services in compliance with applicable laws, regulations, industry standards, and these Terms.

INSTY reserves the right to modify, suspend, discontinue, withdraw, restrict, or terminate any aspect of the Platform, Programs, Services, features, tools, events, communities, recordings, or content at any time at its sole discretion, with or without prior notice, subject to applicable law.

Your account is personal to You and may not be shared, transferred, sublicensed, sold, assigned, or otherwise made accessible to any third party. You are solely responsible for maintaining the confidentiality, security, and control of Your account credentials, login information, devices, and access methods used in connection with the Platform. You shall remain fully responsible and liable for all activities, communications, transactions, submissions, conduct, and usage occurring through Your account, whether authorized by You or otherwise. You agree to immediately notify INSTY of any unauthorized access, security breach, credential misuse, suspicious activity, or compromise relating to Your account or access credentials.

You represent and warrant that all information, details, documents, and data provided by You to INSTY are true, correct, complete, accurate, current, and not misleading. You further undertake to promptly update any information submitted to INSTY in the event of any change thereto. Please refer to the Privacy Policy to understand how INSTY collects, processes, stores, uses, and protects Your information.

INSTY reserves the right to reject, suspend, restrict, disable, terminate, or place on hold any registration, account, access request, Program participation, feature, identifier, content, or activity at any time where INSTY reasonably believes that: You have violated these Terms; Your conduct may expose INSTY or other Users to legal, reputational, operational, or security risks; such action is necessary for compliance, safety, integrity, operational, or legal purposes; or the information or documentation provided by You is false, inaccurate, incomplete, unauthorized, or misleading.

You are solely responsible for ensuring that the devices, systems, software, internet connectivity, hardware, and technical infrastructure used by You are compatible with and capable of accessing the Platform and Services offered by INSTY. INSTY shall not be responsible for any inability to access or use the Platform arising from device incompatibility, technical limitations, internet failures, software restrictions, or third-party system issues.

Subject to Your compliance with these Terms and all applicable Platform Terms, INSTY grants You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform, Programs, and Services solely for Your personal, non-commercial, and lawful use in accordance with these Terms.

Subject to payment of applicable fees and Your continued compliance with these Terms, INSTY grants You a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and participate in the specific Programs, sessions, workshops, materials, recordings, or Services for which You have enrolled or received authorized access. Such access is provided solely for Your personal, non-commercial, and lawful use.

INSTY reserves the right to suspend, restrict, revoke, modify, or discontinue access to any Program, content, recording, feature, material, session, or Service upon expiration of the applicable access period, completion of the Program, breach of these Terms, operational requirements, legal obligations, or otherwise in accordance with these Terms.

Except as expressly permitted by INSTY in writing, You shall not reproduce, duplicate, record, distribute, modify, adapt, publish, display, transmit, copy, sell, sublicense, commercially exploit, create derivative works from, or otherwise use any portion of the Platform, Programs, Services, recordings, workshops, materials, INSTY Content, trademarks, branding elements, proprietary information, or intellectual property belonging to INSTY.

All rights not expressly granted under these Terms are reserved by INSTY. Nothing contained in these Terms shall be construed as transferring or assigning any ownership rights, intellectual property rights, or proprietary interests in the Platform, Programs, Services, materials, recordings, or INSTY Content to You.

Unauthorized recording, reproduction, distribution, circulation, uploading, public exhibition, resale, commercial exploitation, or dissemination of any Program content, workshop, recording, session, or proprietary material of INSTY shall constitute a material breach of these Terms and may result in immediate suspension or termination of access, forfeiture of fees, and initiation of appropriate legal proceedings.

Program Delivery (Hybrid / Online / Offline)

Programs may be conducted in online, offline, hybrid, recorded, live, or such other formats as may be determined by INSTY for the relevant Program or batch. INSTY reserves the right to reasonably modify, reschedule, postpone, substitute, restructure, merge, relocate, cancel, or otherwise alter any Program, session, batch, schedule, venue, instructor, mentor, speaker, format, delivery tool, content sequence, curriculum component, or operational aspect of the Program due to academic, operational, commercial, technical, logistical, safety, legal, or other business requirements, provided that INSTY shall use reasonable efforts to maintain the intended learning outcomes of the relevant Program.

INSTY shall not be liable for any delay, modification, interruption, postponement, rescheduling, or cancellation arising from events beyond its reasonable control, including technical failures, internet disruptions, public health situations, governmental restrictions, force majeure events, unavailability of instructors or speakers, or operational contingencies.

INSTY shall use commercially reasonable efforts to notify affected Learners of any material changes to Program schedules, formats, or delivery arrangements.

Content and Code of Conduct

You agree to conduct Yourself in a lawful, professional, respectful, and responsible manner while accessing or using the Platform, Programs, Services, workshops, events, communities, sessions, or any associated interactions facilitated by INSTY. Prohibited conduct includes, without limitation, harassment, bullying, hate speech, abusive behavior, intimidation, threats, discrimination, stalking, misconduct, cheating, plagiarism, academic dishonesty, impersonation, unauthorized solicitation, spamming, disruption of sessions, misuse of community channels, unauthorized recording, piracy, intellectual property infringement, unlawful conduct, or any behavior deemed inappropriate, unsafe, harmful, or disruptive by INSTY. Any violation may result in suspension, restriction, removal, termination of access, forfeiture of fees, and/or legal action at INSTY's sole discretion.

Where the Platform permits submissions, reviews, comments, portfolios, projects, assignments, communications, or other User-generated content, You acknowledge that such submissions may not be confidential unless expressly agreed otherwise in writing by INSTY.

You shall remain solely responsible and liable for all User-generated Content submitted, uploaded, shared, communicated, displayed, or otherwise made available by You on or through the Platform. You represent and warrant that You own or possess all necessary licenses, permissions, consents, approvals, and rights required to submit such User-generated Content and to grant the rights contemplated under these Terms. You further agree that Your User-generated Content shall not infringe or violate any intellectual property rights, privacy rights, publicity rights, contractual rights, confidentiality obligations, or other rights of any third party. You shall remain solely liable for all claims, losses, liabilities, disputes, damages, proceedings, or consequences arising out of or relating to Your User-generated Content.

Subject to applicable law and the Intellectual Property provisions contained herein, You retain ownership of Your original User-generated Content. However, by submitting User-generated Content through the Platform, You grant INSTY a limited, non-exclusive, royalty-free, worldwide license to host, store, display, reproduce, distribute, process, adapt, use, publish, and make available such User-generated Content solely for the purposes of operating, administering, promoting, improving, and facilitating the Platform, Programs, and Services.

You shall not upload, post, publish, transmit, display, communicate, distribute, store, share, or otherwise make available any content, material, communication, information, or User-generated Content that:

• belongs to another person or entity and in respect of which You do not possess lawful rights or authorization;
• is unlawful, defamatory, abusive, obscene, sexually explicit, pornographic, discriminatory, hateful, invasive of privacy, misleading, threatening, exploitative, harmful, or otherwise objectionable or contrary to applicable law;
• harms, exploits, endangers, or negatively affects minors or vulnerable persons;
• infringes any intellectual property, proprietary, contractual, or legal rights of any third party;
• violates applicable laws, regulations, court orders, governmental directions, or these Terms;
• contains false, deceptive, misleading, fraudulent, manipulated, or misrepresented information;
• impersonates another individual or falsely represents affiliation, identity, credentials, or authority;
• threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting other nation;
• contains malware, viruses, harmful code, malicious software, or any technology intended to interfere with, damage, disrupt, monitor, or compromise systems or data.

Your conduct on the Platform shall at all times remain compliant with these Terms, the User Guidelines, applicable Program rules, and all other Platform Terms communicated by INSTY from time to time under applicable child safety regulations and the DPDP Act.

Where You interact with Minors through the Platform or Programs, You agree to comply with all applicable child safety requirements, User Guidelines, and conduct standards prescribed by INSTY from time to time.

INSTY maintains a zero-tolerance policy towards harassment, abuse, discrimination, intimidation, misconduct, exploitation, bullying, stalking, or inappropriate behavior on or through the Platform or during any Program, workshop, event, or interaction. INSTY reserves the right to immediately suspend, restrict, terminate, or remove access to any User involved in such conduct and may additionally initiate appropriate legal or disciplinary action where deemed necessary.

User-generated Content reflects the views and submissions of the respective Users and does not necessarily represent the views, opinions, endorsements, or recommendations of INSTY. INSTY reserves the right to review, restrict, remove, disable, investigate, or take action against any User-generated Content or activity that may violate these Terms, intellectual property rights, applicable law, safety standards, or the integrity of the Platform. INSTY may remove or disable access to any User-generated Content without prior notice where INSTY reasonably believes such content violates these Terms or applicable law.

You should not create fake accounts, manipulate engagement metrics, artificially inflate participation, misuse referral systems, impersonate Users, or otherwise manipulate Platform activity, Program participation, ratings, reviews, or interactions through automated or deceptive means.

You shall not engage in piracy, unauthorized recording, screen-recording, downloading, reproduction, redistribution, circulation, uploading, streaming, sharing, republication, resale, commercial exploitation, or dissemination of any Program, recording, session, workshop, event, or INSTY Content except where expressly authorized by INSTY in writing. INSTY reserves the right to immediately suspend or terminate access, revoke participation rights, remove content access, forfeit fees, and initiate legal proceedings in the event of any such violation.

Communication

By accessing or using the Platform, You consent to receive communications from INSTY electronically and through other lawful modes of communication.

You may be required to provide accurate and valid contact information, including Your name, email address, phone number, and other details while creating an account, enrolling in a Program, or accessing any Services offered by INSTY.

INSTY may communicate with You through email, telephone calls, SMS, WhatsApp, notifications, in-platform messages, or any other lawful mode of communication in connection with the Platform, Programs, Services, transactions, updates, support, operational matters, legal notices, or promotional activities.

By providing Your information to INSTY, You expressly authorize INSTY, its affiliates, representatives, service providers, agents, employees, contractors, and authorized partners to contact You for purposes relating to Your use of the Platform, enrollment, participation in Programs, support, operational requirements, updates, surveys, marketing, promotional communications, and related Services.

INSTY may monitor, review, store, or record communications, sessions, interactions, calls, meetings, workshops, events, or support interactions for quality assurance, training, compliance, operational, safety, security, dispute-resolution, educational, and lawful business purposes.

You acknowledge that standard data, internet, telephone, messaging, or communication charges imposed by Your telecom operator, internet service provider, or third-party service provider may apply, and INSTY shall not be responsible for any such charges.

If You do not consent to such communications, You should refrain from using the Platform or providing Your contact information to INSTY.

You may opt out of promotional or marketing communications at any time by following the unsubscribe instructions communicated through such communications or by contacting INSTY, subject to applicable law.

Please note that — Even if You opt out of promotional communications, INSTY may continue to send You transactional, operational, legal, security-related, administrative, account-related, Program-related, or service communications where necessary. If You no longer wish to use the Platform, You may request account deletion or deactivation in accordance with the procedures prescribed by INSTY and subject to applicable legal and operational retention requirements. Opting out of promotional communications shall apply prospectively and may not affect communications already initiated or processing activities previously undertaken in accordance with the Privacy Policy. INSTY does not sell Your Personal Information to third parties.

INSTY reserves the right to monitor, review, moderate, restrict, investigate, suspend, terminate, or take action in relation to any User interaction, communication, conduct, activity, complaint, or behavior occurring on or through the Platform where INSTY reasonably believes such conduct may violate these Terms, applicable law, safety standards, community guidelines, or the integrity of the Platform, Programs, Services, or other Users.

User-generated Content, comments, chats, discussions, submissions, opinions, or communications made available by Users through the Platform reflect the views of the respective Users and do not necessarily represent the views, endorsements, recommendations, or opinions of INSTY.

You remain solely responsible and liable for all User-generated Content submitted, published, communicated, displayed, uploaded, or otherwise shared by You through the Platform, including its legality, accuracy, reliability, appropriateness, and compliance with applicable law and these Terms.

You represent and warrant that You possess all necessary rights, licenses, permissions, approvals, and authority required to use, upload, publish, communicate, and make available such User-generated Content on or through the Platform.

Processing of Personal Information

All collection, processing, storage, usage, disclosure, sharing, transfer, retention, and protection of Personal Information collected from You shall be governed by the Privacy Policy and applicable laws. Please review the Privacy Policy to understand how INSTY collects, processes, stores, uses, protects, and safeguards Your Personal Information. You maintain explicit rights to access, correct, erase, or withdraw consent for the processing of Your personal data by contacting Our Grievance Officer, provided that withdrawal of certain data processing requirements may impair or terminate Your access to Our relevant Programs or features. Assessments & Integrity

Programs may include assignments, evaluations, attendance requirements, practical exercises, portfolio reviews, projects, assessments, interviews, presentations, submissions, performance reviews, or participation requirements as determined by INSTY from time to time.

Any misconduct, malpractice, plagiarism, cheating, impersonation, unauthorized collaboration, falsification, misuse of materials, or violation of academic or professional integrity standards may result in score cancellation, withholding or denial of certificates, suspension, disqualification from opportunities, removal from Programs, forfeiture of fees, or such other disciplinary or legal action as INSTY may deem appropriate.

Recording Policy (Important)

INSTY reserves the right to record, reproduce, store, use, publish, and make available recordings of sessions, Programs, workshops, events, meetings, interactions, or communications for educational access, quality assurance, operational, training, promotional, archival, security, compliance, internal review, and lawful business purposes unless otherwise expressly stated by INSTY for a particular Program.

By participating in any Program, workshop, session, or event conducted by INSTY, You acknowledge and consent that INSTY may photograph, audio record, video record, or otherwise capture portions of Programs, workshops, sessions, or events for educational, operational, archival, promotional, compliance, and business purposes, provided such usage shall remain in accordance with applicable law and the Privacy Policy and You also authorize INSTY to use such recordings, photographs, names, voices, likenesses, testimonials, submissions, and participation for lawful promotional, educational, archival, operational, commercial, marketing, and business purposes.

Intellectual Property and License to User-generated Content

All content, materials, recordings, sessions, Programs, workshops, curriculum, text, graphics, designs, interfaces, branding elements, software, videos, audio, logos, trademarks, learning materials, documentation, concepts, and other proprietary materials made available on or through the Platform ("INSTY Content") are owned by or licensed to INSTY and are protected under applicable intellectual property and proprietary rights laws.

Subject to Your compliance with these Terms, INSTY grants You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use INSTY Content solely for Your personal, non-commercial, and lawful educational use.

Except as expressly permitted by INSTY in writing, You shall not copy, reproduce, record, distribute, modify, adapt, republish, upload, display, transmit, circulate, sell, sublicense, commercially exploit, or otherwise use any INSTY Content or intellectual property in any manner whatsoever.

User-generated Content: Subject to applicable law and the rights granted herein, You shall retain ownership of original content, submissions, portfolios, assignments, projects, comments, communications, media, or other materials submitted or uploaded by You through the Platform ("User-generated Content"). INSTY does not claim ownership over such User-generated Content except to the limited extent necessary for operating, administering, promoting, and facilitating the Platform, Programs, and Services.

By submitting User-generated Content through the Platform, You grant INSTY a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, publish, process, adapt, distribute, use, and make available such User-generated Content solely to the extent reasonably necessary for:

• operating, administering, and facilitating the Platform, Programs, and Services;
• providing educational, technical, operational, and support-related functions;
• promoting, marketing, and showcasing the Platform, Programs, workshops, events, and Services;
• improving the Platform, Programs, and User experience;
• maintaining internal records, archives, security, and compliance systems; and
• complying with applicable laws, regulatory obligations, legal proceedings, or enforcement requests.

INSTY shall not commercially exploit or independently monetize Your original User-generated Content outside the operation, promotion, administration, or facilitation of the Platform and Services without obtaining additional consent where required under applicable law.

Where User-generated Content is made accessible to other Users through Platform functionalities, You grant such Users a limited, non-exclusive, revocable right to access such User-generated Content solely for lawful use through the Platform in accordance with these Terms.

You acknowledge and agree that: all rights, title, and interest in and to the Platform and INSTY Content shall remain solely vested in INSTY and/or its licensors; no ownership rights or proprietary interests are transferred to You by virtue of Your access to or use of the Platform; and any unauthorized use, reproduction, modification, distribution, republication, transmission, circulation, display, commercialization, or exploitation of INSTY Content is strictly prohibited and may result in legal action.

You shall not use data-mining tools, bots, crawlers, scraping technologies, artificial intelligence systems, extraction tools, automated scripts, or similar technologies to access, collect, extract, monitor, copy, or reuse any substantial portion of the Platform, Programs, Services, data, or INSTY Content without INSTY's prior written consent.

INSTY respects the intellectual property rights of others and expects all Users to do the same. If You believe that any content, material, User-generated Content, Program material, recording, trademark, copyright, or other intellectual property available on or through the Platform infringes Your intellectual property rights, You may notify INSTY at helpdesk@insty.club with complete details of the alleged infringement and supporting documentation reasonably necessary for verification and review.

INSTY reserves the right to investigate, restrict, suspend, disable, remove, or take appropriate action against any content, material, User-generated Content, account, activity, or conduct that INSTY reasonably believes may violate intellectual property rights, applicable law, these Terms, or the integrity of the Platform, with or without prior notice. Nothing contained on the Platform shall be construed as granting, whether by implication, estoppel, or otherwise, any license or right to use any trademark, logo, trade name, branding element, or intellectual property belonging to INSTY without INSTY's prior written consent.

Unauthorized use of INSTY Content, recordings, workshops, Programs, trademarks, logos, branding, or proprietary materials may result in immediate suspension or termination of access and initiation of civil and/or criminal proceedings under applicable law.

Live Briefs / Projects — Ownership & Portfolio

Unless INSTY explicitly states otherwise in writing for a specific Program:

• By enrolling and participating in a Program/Live Brief, You hereby irrevocably, unconditionally, and perpetually assign to INSTY all worldwide rights, title, and interest in and to all deliverables, outputs, scripts, designs, edits, footage, and works created by You as part of the Program (collectively, the "Assigned Materials"). This assignment includes all forms of exploitation and reproduction rights under Section 19 of the Indian Copyright Act, 1957, and is effective from the moment of creation, for a royalty-free consideration already accounted for in the educational services delivered. To the maximum extent permissible under applicable law, You waive any right to claim statutory royalties in respect of the Assigned Materials (including the right to restrain or claim damages in respect of any distortion or mutilation of, Your work) as permissible under the law.
• Portfolio use is permitted only after written approval by INSTY and only if it does not reveal confidential information or violate partner/client requirements.
• INSTY may restrict/revoke portfolio permissions for confidentiality, quality control, partner/client requirements, or IP reasons.

Certificates (If Applicable)

Certificates (if any) may be issued based on completion/performance and verification. INSTY may withhold/revoke certificates for misconduct, integrity violations, or non-payment.

Hiring / Interview Opportunities ("Guaranteed Interviews")

If a Program advertises "Guaranteed Interviews":

• This means INSTY will facilitate interview opportunities for eligible learners, subject to Program criteria (for example: minimum attendance, completion of required work, satisfactory conduct, and any screening criteria communicated).
• "Interview opportunity" means INSTY will make reasonable efforts to schedule at least one interview/screening interaction through its network or arranged panels.
• This does not guarantee selection, job offer, compensation, role type, location, start date, or timeline; final decisions rest with employers/partners. It is further clarified that INSTY does not guarantee interview conversion, selection, onboarding, compensation, engagement continuity, or employment of any nature.

Payments

Fees, applicable taxes (including GST where applicable), and payment schedules will be communicated at the time of enrollment/checkout. If installments are offered and payments are missed, INSTY may pause access until dues are cleared.

Third-Party Intermediary Disclaimer: All online payments on the Platform are processed through secure, RBI-authorized third-party Payment Gateways or Payment Aggregators ("Payment Processors"). INSTY does not collect, store, or process Your credit/debit card details, net banking credentials, or UPI PINs directly. Your use of these payment services is subject to the terms, conditions, and privacy policies of the respective Payment Processors.

Liability for Payment Failures: INSTY shall not be responsible or liable for any transaction failures, double debits, delays in payment settlement, or authentication errors caused by technical glitches, banking server downtime, network issues, or insufficient funds on the part of the Learner.

Handling of Failed Transactions: In the event that an amount is deducted from Your bank account but does not reflect as "Successful" on INSTY's Platform, such failed transactions are governed by the RBI's Turnaround Time (TAT) and Online Dispute Resolution (ODR) mandates. The respective Payment Processor or Your issuing bank is solely responsible for auto-reversing such amounts back to the original payment method, typically within 2 to 7 business days. You must approach Your bank directly for any resolution regarding uncredited deductions.

Fraudulent Transactions and Chargebacks: If You notice an unauthorized or fraudulent charge on Your card/account for an INSTY Program, You must report it immediately to Your bank. INSTY reserves the right to immediately suspend or permanently delete any User account associated with a disputed transaction or chargeback request pending full investigation. In case a chargeback is fraudulently initiated by a Learner to bypass the strict Non-Refundable Policy, INSTY shall present compelling evidence (such as digital login records, attendance logs, and orientation access) to the bank, and the Learner shall be liable to indemnify INSTY for all administrative and chargeback fees incurred.

Cancellation Policy

Where cancellation functionality is made available by INSTY, You may request cancellation of Your enrollment, access, or participation through the Platform or by contacting INSTY through the prescribed communication channels.

Unless otherwise expressly stated by INSTY in writing, any fees paid towards a Program, workshop, session, event, or Service shall remain strictly non-cancellable and non-refundable after successful enrollment and payment confirmation, as Your enrollment constitutes the immediate booking of a limited-capacity seat and blocks access for other potential Learners. Notwithstanding the foregoing, nothing in these Terms shall restrict, exclude, or limit any refund, cancellation, replacement, or other remedy that may be mandatorily required under applicable law, consumer protection laws, court orders, regulatory directions, or where INSTY is unable to substantially provide the applicable Services for reasons solely attributable to INSTY.

You are advised to carefully review these Terms, the Refund Policy, Program details, eligibility requirements, schedules, and applicable conditions prior to making any payment or enrolling in any Program or Service.

INSTY reserves the right to suspend, revoke, restrict, or discontinue access to any Program, session, material, recording, feature, or Service upon cancellation, withdrawal, suspension, expiration of access, violation of these Terms, or otherwise in accordance with these Terms.

Refund Policy & Transfers

Learners shall not be permitted to change, transfer, assign, substitute, exchange, reschedule, or materially modify their selected Program after confirmation of enrollment except with the prior written approval of INSTY. Seat transfers, substitutions, account-sharing, or transfers of Program access in favor of another individual are strictly prohibited. Any approved exception shall remain entirely at INSTY's sole discretion and may be subject to administrative charges, revised pricing, eligibility checks, batch availability, timelines, and additional conditions as determined by INSTY.

No refunds, whether full or partial, shall be issued for reasons including, without limitation:

• non-attendance or partial attendance;
• scheduling conflicts;
• change of mind or personal preference;
• dissatisfaction based on subjective expectations or preferences;
• inability to participate in or complete the Program;
• relocation, travel restrictions, professional commitments, medical reasons, financial reasons, or personal circumstances attributable to the Learner;
• technical limitations, internet disruptions, or device incompatibility attributable to the Learner;
• suspension or removal arising from breach of these Terms or misconduct by the Learner; or
• failure to secure auditions, placements, projects, employment opportunities, collaborations, commercial engagements, social media growth, industry recognition, or any specific career outcome or expectation.

For clarity, commencement of a Program, access to any session, workshop, recording, community, material, digital content, or Platform feature shall constitute partial performance of the Services by INSTY.

For the avoidance of doubt, the Learner acknowledges that INSTY allocates limited-capacity seats, faculty resources, infrastructure, scheduling commitments, operational resources, and digital access immediately upon enrollment, and accordingly, the fees paid represent consideration for reserving and enabling access to such resources and not merely actual attendance or completion by the Learner.

If INSTY cancels a Program entirely prior to substantial commencement, INSTY may, at its sole discretion, provide the Learner with one or more of the following remedies:

• enrollment in the same Program through an alternate batch, schedule, slot, instructor, format, or delivery mode;
• enrollment in another Program or Service offered by INSTY, subject to availability and applicable fee adjustments; or
• issuance of a credit note, wallet balance, redemption credit, or internal credit equivalent to the amount paid, redeemable by the Learner towards eligible Programs or Services offered by INSTY within such validity period and subject to such conditions as may be prescribed by INSTY from time to time.

Where INSTY is unable to provide a commercially reasonable alternative, replacement Program, alternate format, replacement batch, or redeemable credit, INSTY may issue a refund or partial refund at its discretion or where required under applicable law. Without limiting the generality of the foregoing, refunds may additionally be processed where mandated under applicable consumer protection laws, pursuant to binding judicial or regulatory directions, or where Services cannot be substantially delivered due to reasons solely attributable to INSTY.

Any credit note, wallet balance, redemption credit, or internal credit issued by INSTY shall: be non-transferable and non-refundable; be redeemable only by the original Learner; not have any cash value unless otherwise required under applicable law; and remain subject to the validity period, restrictions, and redemption conditions prescribed by INSTY from time to time.

Any request for refund, exception, adjustment, transfer, replacement, waiver, extension, or accommodation shall be subject to review and approval by INSTY on a case-to-case basis. Submission of any request shall not guarantee approval, and the decision of INSTY in such matters shall, to the fullest extent permissible under applicable law, remain final and binding.

To the fullest extent permissible under applicable law, INSTY's aggregate liability in relation to any approved refund claim shall not exceed the actual amount of fees received by INSTY from the applicable Learner for the specific Program giving rise to such claim.

No refund shall be interpreted as an admission of fault, deficiency, or liability on the part of INSTY, and any refund, credit, accommodation, waiver, or exception granted by INSTY shall constitute a discretionary commercial adjustment unless otherwise required under applicable law.

Account Security

To access certain features or Programs, You may be required to create an account and provide accurate, current and complete Information. If You create an account, You are responsible for maintaining credential confidentiality and all activity under Your account.

Input Responsibility

You are solely responsible for Your Input and confirm You have the rights/permissions to submit it. You must not upload illegal, infringing, or harmful content.

Output (If Tools/AI Are Offered)

If the Service generates Output:

• Subject to Your compliance, You may use the Output for lawful purposes;
• Program exception: If Output/deliverables are created as part of a Program/Live Brief, Clause G under these Terms applies;
• Accuracy disclaimer: Output may be inaccurate/incomplete/biased; You shall remain solely responsible for independently reviewing, verifying, and assessing the legality, accuracy, suitability, and reliability of any Output prior to relying upon or using the same.

Acceptable Use

You agree not to use INSTY to:

• generate illegal, defamatory, hateful, harassing, or harmful content;
• infringe third-party IP, privacy, or publicity rights;
• reverse engineer, decompile, or attempt to extract source code/models;
• scrape/automate/mass-generate content in a manner that disrupts systems or violates usage limits;
• bypass security or access controls;
• sell, modify, or distribute website content;
• violate copyright or trademark laws;
• post defamatory, obscene, or illegal content;
• attempt to access unauthorized areas or data;
• disrupt or harm the website via malware, spam, or denial-of-service attacks; and
• for any unlawful purposes.

Third-Party Tools

Programs/Service may use third-party tools (video platforms, messaging apps, cloud tools, payment gateways). Their terms may apply. INSTY is not responsible for third-party outages or changes.

Your access to, and use of such third-party tools are subject to their respective terms and privacy policies, which You are responsible for reviewing and complying with. INSTY is not responsible for any acts or omissions of such third parties, including outages, data loss, or changes to their Services or Terms.

Privacy

INSTY collects, processes, stores, uses, shares, transfers, retains, and safeguards Personal Information for purposes including enrollment, onboarding, Program delivery, assessments, certifications, communications, support, safety, security, operational management, interview facilitation, mentorship coordination, compliance, analytics, platform improvement, and lawful business operations, in accordance with applicable laws and the Privacy Policy.

By accessing or using the Platform or Services, You consent to such collection, processing, storage, and use of Your Personal Information in accordance with the Privacy Policy and applicable law.

Please review the Privacy Policy carefully to understand how INSTY handles and protects Your Personal Information.

Confidentiality

Users acknowledge that during their access to or participation in the Platform, Programs, workshops, mentorship sessions, events, communities, auditions, networking activities, interviews, collaborations, or Services offered by INSTY, they may receive, access, observe, hear, view, or otherwise become aware of certain confidential, proprietary, non-public, commercially sensitive, educational, creative, technical, operational, personal, or business information relating to INSTY, its affiliates, mentors, instructors, representatives, partners, collaborators, industry participants, recruiters, other Users, or third parties ("Confidential Information").

Confidential Information shall include, without limitation:

• Program materials, curriculum, lesson plans, presentations, recordings, assessments, assignments, workshops, methodologies, teaching techniques, processes, frameworks, templates, and educational content;
• scripts, concepts, creative materials, pitches, story ideas, project materials, audiovisual content, production-related information, and other intellectual property;
• business plans, operational information, commercial information, financial information, pricing structures, marketing strategies, partnerships, collaborations, and internal communications;
• information relating to auditions, interviews, opportunities, placements, industry introductions, talent evaluations, assessments, recommendations, and professional-development initiatives;
• Personal Information, communications, submissions, portfolios, recordings, feedback, evaluations, and participation details relating to other Users; and
• any information which is designated as confidential or which a reasonable person would understand to be confidential by its nature or circumstances of disclosure.

Users agree to maintain the strict confidentiality of all Confidential Information and shall not, directly or indirectly, disclose, publish, reproduce, distribute, share, communicate, transmit, copy, exploit, commercialize, or otherwise make available any Confidential Information to any third party without the prior written consent of INSTY or the relevant owner of such information.

Users shall use Confidential Information solely for the limited purpose of participating in the relevant Program, workshop, event, mentorship session, audition, interview, community activity, or Service and for no other purpose whatsoever.

Without limiting the generality of the foregoing, Users shall not:

• record, screenshot, reproduce, circulate, publish, repost, livestream, distribute, or otherwise disseminate confidential discussions, workshops, sessions, mentor interactions, community conversations, or Program content;
• disclose confidential information relating to other Users, mentors, instructors, recruiters, collaborators, or industry participants;
• use Confidential Information to compete with, replicate, reverse engineer, undermine, or otherwise prejudice the business, Programs, Services, operations, or interests of INSTY; or
• use Confidential Information for personal commercial gain or for the benefit of any third party.

The obligations contained in this Clause shall not apply to information which: is or becomes publicly available through no breach of these Terms by the User; was lawfully known to the User prior to disclosure without any obligation of confidentiality; is lawfully received from a third party without restriction and without breach of any confidentiality obligation; or is required to be disclosed pursuant to Applicable Law, court order, governmental direction, or regulatory requirement, provided that the User, to the extent legally permissible, gives prior written notice to INSTY of such requirement.

Users acknowledge and agree that unauthorized disclosure or misuse of Confidential Information may cause irreparable harm to INSTY and/or other affected parties for which monetary damages alone may not be an adequate remedy. Accordingly, INSTY shall be entitled to seek injunctive relief, specific performance, equitable remedies, and any other remedies available under Applicable Law, in addition to any claim for damages or other relief.

The confidentiality obligations contained in this Clause shall survive suspension, termination, expiration, cancellation, deletion of account, completion of a Program, or cessation of the User's relationship with INSTY for a period of five (5) years from the date of such termination or for so long as the Confidential Information remains confidential, whichever is longer.

Disclaimers

You acknowledge and agree that the Platform, Programs, Services, sessions, workshops, recordings, materials, content, and all associated features are provided on an "as is" and "as available" basis, and Your access to and use of the Platform shall be at Your sole risk.

To the fullest extent permissible under applicable law, INSTY, its affiliates, licensors, officers, directors, employees, consultants, mentors, trainers, representatives, contractors, and agents disclaim all warranties, representations, guarantees, conditions, and undertakings of any kind, whether express, implied, statutory, or otherwise, in connection with the Platform, Programs, Services, User-generated Content, or any related materials, including without limitation warranties relating to accuracy, completeness, reliability, merchantability, fitness for a particular purpose, availability, uninterrupted access, quality, suitability, security, compatibility, non-infringement, or expected outcomes.

INSTY does not warrant or guarantee that:

• the Platform or Services will always be uninterrupted, secure, error-free, or available at all times;
• any defects, bugs, viruses, malware, or technical issues will be corrected immediately or entirely;
• the Platform, servers, systems, communications, or materials are free from harmful components or unauthorized access;
• any Program, workshop, mentorship, session, assessment, certification, interview opportunity, or Service will result in employment, placement, auditions, representation, collaborations, income generation, commercial success, career advancement, brand opportunities, project opportunities, or any specific professional outcome;
• any User-generated Content, third-party content, statements, opinions, recommendations, communications, or external resources are accurate, reliable, complete, lawful, or suitable for Your purposes;
• While INSTY may provide opportunities for exposure, networking, auditions, industry interactions, or talent pipelines, INSTY does not guarantee any specific outcome, including but not limited to employment, casting, representation, earnings, project selection, viewer engagement, or career success, beyond what is explicitly and specifically stated in writing for a particular Program; or
• Except as expressly set out in these Terms or in Program-specific written terms, the Service and Content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of performance.

To the fullest extent permissible under applicable law, INSTY shall not be liable for: any errors, inaccuracies, omissions, interruptions, delays, or defects in the Platform, Programs, Services, User-generated Content, or any related materials; any personal injury, property damage, loss, harm, or adverse consequence arising out of or relating to Your access to or participation in the Platform, Programs, workshops, events, or Services; any unauthorized access to, misuse of, or alteration of Your data, account, communications, or information; any interruption, suspension, delay, technical failure, downtime, or cessation of transmission to or from the Platform; any malware, viruses, harmful code, cyber incidents, hacking attempts, or technological vulnerabilities caused by third parties; any reliance placed by You on User-generated Content, communications, reviews, opinions, or third-party materials; or any acts, omissions, conduct, representations, products, services, or content of third parties.

The Platform may contain links to third-party websites, services, integrations, tools, platforms, applications, advertisements, or resources for convenience only. INSTY does not endorse, control, monitor, or assume responsibility for any third-party services, products, content, advertisements, policies, or practices, and any interaction or transaction between You and such third parties shall remain solely between You and the relevant third party.

You are advised to exercise independent judgment, discretion, and caution while accessing the Platform, participating in Programs, interacting with other Users, or relying on any content or materials made available through the Platform.

Programs and Services offered by INSTY are educational, informational, professional-development, and skill-enhancement oriented in nature. Outcomes may vary depending on individual skill, effort, participation, industry conditions, market requirements, external opportunities, and other factors beyond INSTY's control. No guarantee, assurance, or warranty is provided except as expressly stated in these Terms or otherwise communicated by INSTY in writing.

Claims Against User Generated Content

User-generated Content made available on or through the Platform reflects the views, opinions, submissions, and conduct of the respective Users and does not necessarily represent the views, recommendations, endorsements, or opinions of INSTY.

While INSTY reserves the right to review, moderate, investigate, restrict, suspend, remove, or take action against User-generated Content or User conduct where deemed necessary, INSTY does not independently verify or guarantee the accuracy, legality, reliability, completeness, appropriateness, safety, or usefulness of any User-generated Content.

To the fullest extent permissible under applicable law, INSTY disclaims all liability arising from any reliance placed by You on User-generated Content, communications, reviews, comments, recommendations, opinions, or materials submitted by Users or third parties through the Platform.

All statements, submissions, communications, reviews, comments, opinions, responses, recommendations, and other User-generated Content are solely the responsibility of the respective User who submitted or communicated such content.

INSTY reserves the right to investigate, restrict, suspend, remove, disable, report, or take legal or disciplinary action against any User-generated Content or activity that violates these Terms, applicable law, intellectual property rights, safety standards, or the integrity of the Platform, Programs, Services, or Users.

INSTY's Rights

In relation to the Platform, Programs, Services, User-generated Content, and all associated operations, INSTY reserves all rights necessary to operate, administer, secure, protect, and manage the Platform and its business activities, including without limitation the following rights:

• INSTY reserves the right to review, reject, suspend, place on hold, restrict, disable, or terminate any registration, account, enrollment, participation request, access, feature, or activity where such action is required for compliance with applicable laws, regulatory obligations, internal policies, operational requirements, security standards, safety concerns, or these Terms.
• INSTY reserves the right to remove, restrict, disable, investigate, suspend, or terminate any User, account, access, communication, User-generated Content, activity, Program participation, or conduct that INSTY reasonably believes violates these Terms, applicable law, intellectual property rights, community standards, safety standards, or the integrity of the Platform, with or without prior notice.
• INSTY may modify, suspend, discontinue, restrict, replace, remove, postpone, cancel, or refuse to provide any Program, Service, feature, content, recording, workshop, event, access, or functionality at any time for operational, technical, commercial, legal, academic, safety, compliance, or business reasons.
• Notwithstanding anything contained in these Terms, INSTY reserves the right, at its sole discretion and to the fullest extent permissible under applicable law, to remove, suspend, terminate, restrict, or deny access to any User, account, Program, Service, or activity at any time where INSTY reasonably considers such action necessary or appropriate.
• INSTY reserves the right to access, review, monitor, preserve, disclose, or process account information, communications, User-generated Content, submissions, participation records, or activity logs where reasonably necessary for: technical support; operation and maintenance of the Platform; safety, security, fraud prevention, and risk management; investigation of complaints, disputes, misconduct, or violations; legal, regulatory, compliance, or enforcement purposes; or legitimate business and operational requirements.
• While INSTY is not obligated to actively monitor all User activity, communications, or User-generated Content on the Platform, INSTY reserves the right to review, investigate, moderate, remove, disable, report, or take appropriate action against any conduct or content that may violate these Terms, applicable law, intellectual property rights, safety standards, or the integrity of the Platform, Programs, Services, or Users.
• INSTY reserves the right to introduce, modify, discontinue, or impose conditions upon any feature, Program, pricing structure, access model, eligibility requirement, certification criteria, mentorship opportunity, community feature, or Service offering at its sole discretion.
• INSTY reserves the right to cooperate with law enforcement authorities, regulators, courts, governmental authorities, and legal processes and may disclose information where required under applicable law or where reasonably necessary to protect the rights, safety, integrity, property, Users, business interests, or operations of INSTY.

Indemnity

You agree to defend, indemnify, and hold harmless INSTY, its affiliates, licensors, mentors, instructors, consultants, trainers, business partners, representatives, officers, directors, employees, contractors, agents, and service providers from and against any and all claims, actions, proceedings, liabilities, damages, losses, penalties, costs, expenses, demands, or obligations, including reasonable legal fees and expenses, arising out of or relating to:

• Your access to or use of the Platform, Programs, Services, or User-generated Content;
• Your breach or alleged breach of these Terms or any applicable Platform Terms;
• Your violation of any applicable law, regulation, governmental direction, or third-party rights;
• any User-generated Content, submissions, communications, recordings, materials, or information submitted, uploaded, published, communicated, or shared by You;
• Your misconduct, negligence, fraud, misrepresentation, harassment, infringement, misuse of the Platform, or unlawful conduct;
• Your violation of any intellectual property, privacy, publicity, confidentiality, contractual, or proprietary rights of any person or entity;
• any dispute between You and any third party, User, mentor, instructor, collaborator, vendor, or service provider; or
• any unauthorized access to or misuse of Your account resulting from Your acts, omissions, negligence, or failure to maintain account security.

You further agree that INSTY reserves the right, at Your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by You, and You agree to cooperate fully with INSTY in asserting any available defenses.

This indemnity obligation shall survive suspension, termination, expiration, cancellation, discontinuation of access, or cessation of Your relationship with INSTY or the Platform.

To the fullest extent permissible under applicable law, You expressly acknowledge and agree that INSTY shall not be responsible or liable for the acts, omissions, conduct, representations, products, services, failures, delays, negligence, or defaults of third-party service providers, vendors, payment gateways, instructors, mentors, collaborators, external partners, platforms, or other third parties engaged in connection with the Platform or Services.

Limitation of Liability

To the fullest extent permissible under applicable law, INSTY, its affiliates, licensors, mentors, instructors, consultants, trainers, business partners, officers, directors, employees, contractors, agents, service providers, and representatives shall not be liable to You for any indirect, incidental, consequential, special, exemplary, punitive, or speculative damages, including without limitation damages relating to loss of profits, loss of revenue, loss of opportunity, loss of reputation, loss of goodwill, business interruption, data loss, system failure, or loss of anticipated benefits, arising out of or relating to the Platform, Programs, Services, User-generated Content, or these Terms, whether based in contract, tort, negligence, strict liability, statute, or otherwise, even if advised of the possibility of such damages.

Without limiting the generality of the foregoing, INSTY shall not be liable for:

• any errors, inaccuracies, omissions, interruptions, delays, or defects in the Platform, Programs, Services, recordings, sessions, or User-generated Content;
• any personal injury, property damage, emotional distress, reputational harm, or losses arising from participation in Programs, workshops, sessions, events, auditions, collaborations, or interactions facilitated through the Platform;
• any unauthorized access to, misuse of, or alteration of Your account, communications, Personal Information, or data;
• any interruption, suspension, technical failure, downtime, communication failure, or cessation of transmission to or from the Platform;
• malware, viruses, cyber incidents, hacking attempts, or harmful technological components caused by third parties;
• any acts, omissions, conduct, services, products, statements, opportunities, or content of third parties, Users, mentors, instructors, collaborators, recruiters, agencies, or external entities;
• any failure by You to secure employment, representation, auditions, assignments, collaborations, opportunities, revenue generation, commercial success, or professional advancement; or
• any reliance placed by You on User-generated Content, recommendations, opinions, communications, or external resources.

Programs and Services offered by INSTY are educational, informational, professional-development, and skill-enhancement oriented in nature. Participation in any Program is voluntary, and outcomes may vary depending on individual skill, effort, participation, market conditions, industry requirements, external opportunities, and factors beyond INSTY's control. INSTY does not guarantee employment, placement, auditions, representation, career advancement, income generation, commercial success, or any specific professional outcome unless expressly stated otherwise in writing.

To the fullest extent permissible under applicable law, INSTY's aggregate liability arising out of or relating to any claim, dispute, cause of action, or proceeding connected with the Platform, Programs, Services, or these Terms shall not exceed the total amount actually paid by You to INSTY for the specific Program or Service giving rise to the relevant claim during the six (6) months immediately preceding the event giving rise to such claim.

Certain jurisdictions may not permit the exclusion or limitation of certain warranties or liabilities. In such cases, the limitations contained in these Terms shall apply to the maximum extent permissible under applicable law.

You specifically acknowledge and agree that User-generated Content and interactions on the Platform are generated by Users and third parties, and INSTY shall not be liable for any defamatory, offensive, unlawful, infringing, misleading, inappropriate, or harmful conduct or content of any User or third party.

The Platform is controlled and operated by INSTY from India. Users accessing the Platform from other jurisdictions do so at their own initiative and shall remain responsible for compliance with applicable local laws.

Termination / Suspension

INSTY reserves the right to suspend, restrict, disable, terminate, revoke, or deny access to the Platform, Programs, Services, communities, recordings, sessions, workshops, materials, certifications, accounts, or related features, temporarily or permanently, at any time where INSTY reasonably believes that:

• You have violated these Terms, applicable Platform Terms, policies, guidelines, or applicable law;
• You have engaged in misconduct, harassment, abuse, fraud, impersonation, plagiarism, integrity violations, piracy, unauthorized recording, credential sharing, account-sharing, misuse of the Platform, or any harmful, unlawful, unsafe, or disruptive activity;
• such action is necessary for safety, security, operational integrity, legal compliance, intellectual property protection, fraud prevention, dispute resolution, or risk management;
• Your conduct may expose INSTY, its Users, Programs, mentors, instructors, business partners, or operations to legal, reputational, operational, or commercial risks; or
• Continuation of access is otherwise deemed inappropriate or inadvisable by INSTY acting reasonably and in good faith.

Any suspension, restriction, or termination may be immediate where INSTY reasonably determines that urgent action is necessary for safety, compliance, operational integrity, intellectual property protection, security, or lawful business purposes.

Upon suspension or termination: Your access to the Platform, Programs, Services, recordings, communities, materials, certifications, and related features may immediately cease; INSTY may remove, disable, restrict, or preserve account information, User-generated Content, participation records, or access rights in accordance with applicable law and operational requirements; and You shall remain liable for all obligations, liabilities, undertakings, restrictions, and commitments accrued prior to such suspension or termination.

Unless otherwise required under applicable law or expressly permitted by INSTY in writing, suspension or termination arising from Your breach of these Terms or misconduct shall not entitle You to any refund, compensation, damages, reimbursement, or restoration of access.

INSTY shall not be liable for any losses, interruptions, damages, inability to access content, or adverse consequences arising from any suspension, restriction, interruption, modification, unavailability, or termination of the Platform, Programs, Services, or access rights in accordance with these Terms.

Subject to applicable law and operational requirements, You may request deletion or deactivation of Your account by contacting INSTY through the prescribed communication channels or through any account deletion functionality made available on the Platform.

Upon deletion or deactivation of Your account: access to the Platform, Programs, Services, recordings, communities, certifications, and User-generated Content associated with Your account may cease immediately; certain User-generated Content, submissions, communications, reviews, or interactions made available by You through the Platform may continue to remain visible where operationally necessary or technically unavoidable; deletion requests, once processed, may be irreversible and certain information may not be recoverable; and INSTY shall not be responsible for any loss of data, User-generated Content, records, communications, materials, certifications, submissions, or information resulting from deletion or deactivation of Your account.

INSTY may retain, preserve, archive, anonymize, or continue to process certain information, records, communications, transaction details, participation history, User-generated Content, or Personal Information where necessary for: compliance with applicable law; legal, regulatory, tax, accounting, audit, fraud-prevention, security, or enforcement purposes; dispute resolution; operational continuity; or legitimate business requirements.

Where feasible and appropriate, INSTY may anonymize or de-identify Personal Information in such a manner that the information can no longer reasonably identify You as an individual.

Force Majeure

INSTY shall not be liable for any delay, interruption, suspension, rescheduling, modification, deficiency, failure, or inability in performance arising out of or caused by events, circumstances, or conditions beyond INSTY's reasonable control, including without limitation:

• acts of God, floods, earthquakes, storms, fires, pandemics, epidemics, or natural disasters;
• war, terrorism, civil unrest, riots, strikes, labor disputes, lockouts, or governmental actions;
• internet failures, telecommunications failures, cyber incidents, hacking attempts, malware attacks, server failures, software failures, power outages, or technological disruptions;
• restrictions imposed by governmental, regulatory, judicial, or administrative authorities;
• unavailability, illness, incapacity, or withdrawal of instructors, mentors, speakers, collaborators, or third-party service providers;
• transportation disruptions, venue unavailability, supply-chain disruptions, or operational contingencies; or
• any other event beyond INSTY's reasonable control affecting the operation of the Platform, Programs, Services, workshops, sessions, or events.

In such circumstances, INSTY reserves the right to suspend, postpone, reschedule, modify, replace, cancel, discontinue, or reasonably alter any Program, Service, session, event, schedule, format, instructor, venue, or operational aspect of the Platform without incurring liability.

To the fullest extent permissible under applicable law, Users shall not be entitled to compensation, damages, penalties, reimbursement, or claims arising from delays, interruptions, suspensions, cancellations, modifications, or failures caused by such force majeure events.

Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts in Mumbai, Maharashtra, shall have jurisdiction.

Miscellaneous

• Severability: If any provision of these Terms is held to be invalid, illegal, unenforceable, or incapable of enforcement under applicable law, such provision shall be deemed severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
• Waiver: No failure, delay, relaxation, or omission by INSTY in exercising any right, remedy, power, or provision under these Terms shall operate as or be construed as a waiver thereof, nor shall any single or partial exercise preclude any further exercise of such right or remedy.
• Entire Agreement: These Terms, together with the Privacy Policy, applicable Platform Terms, Program-specific terms, policies, guidelines, consent forms, and any written addenda or communications expressly incorporated herein, constitute the complete and entire agreement between You and INSTY with respect to the Platform, Programs, and Services and supersede all prior discussions, understandings, representations, communications, or agreements relating thereto.
• Updates to Terms: INSTY reserves the right to modify, amend, revise, update, supplement, or replace these Terms, policies, Program conditions, or Platform Terms at any time at its sole discretion. Updated versions may be published on the Platform or otherwise communicated by INSTY. Your continued access to or use of the Platform, Programs, or Services after such updates become effective shall constitute Your acknowledgment and acceptance of the revised Terms.
• Survival: Any provisions of these Terms which by their nature are intended to survive suspension, expiration, deletion, cancellation, or termination, including without limitation provisions relating to intellectual property, indemnity, limitation of liability, disclaimers, payment obligations, dispute resolution, confidentiality, User-generated Content, enforcement rights, and governing law, shall survive and continue in full force and effect.
• Relationship of Parties: Nothing contained in these Terms shall be construed to create any partnership, joint venture, agency, employment, fiduciary, franchise, or representative relationship between You and INSTY.
• Electronic Records and Communications: You acknowledge and agree that these Terms, the Privacy Policy, communications, notices, consents, approvals, records, and transactions may be executed, accepted, stored, and communicated electronically and shall be legally valid and enforceable in accordance with applicable laws relating to electronic records and electronic communications.
